2026年度春学期に琴坂将広が担当する月曜 3限／4限「経営戦略」のうち、5月25日（月）4限のゲストセッションに、株式会社日本総合研究所から 山田 英司 氏（理事・経営研究センター長）と 郷原 陸 氏（シニアマネージャー）の両名にご登壇いただきます。テーマは グループ経営・ガバナンス・M&A の実践知識 です。コンサルティング実務に長年携わってこられた両氏に、著書や実際のプロジェクト事例を踏まえた講師との対話と Q&A セッションを通じて、経営変革の最前線についてお話を伺います。履修者以外の参加も可能 ですので、興味のある学生はぜひご参加ください。
On Monday, 25 May 2026 (4th period, 14:45–16:15), the Spring 2026 strategic-management course (Monday 3rd / 4th period) hosted by Masahiro Kotosaka will welcome a guest session led by Eiji Yamada (Director and Head of the Management Research Centre, Japan Research Institute) and Riku Gohara (Senior Manager, Japan Research Institute). The session focuses on the practice of group management, corporate governance, and M&A. Drawing on the speakers' own books and project experience, the format is built around dialogue with the lecturers and a Q&A — designed to be interactive rather than presentation-heavy. Students who are not enrolled in the course are welcome to join.

本セッションには、株式会社日本総合研究所からお二人にご登壇いただきます。グループ経営戦略・コーポレートガバナンス・M&A／PMI のコンサルティング実務に精通する両氏より、上場企業の経営変革の現場で何が問われているのかを、書籍や実際のプロジェクト事例を踏まえてお話しいただきます。
The session features two speakers from the Japan Research Institute (JRI), both deeply experienced in consulting practice on group strategy, corporate governance, and M&A / PMI for major listed companies. They will speak from the work itself — books they have written and projects they have led — about what listed-company executives are actually grappling with on the ground.

早稲田大学法学部卒業後、University of Wales（MBA）、EU Business School（DBA）を修了。上場建設企業での経営企画を経て、2001年より株式会社日本総合研究所に参画。グループ経営戦略・ガバナンス・M&A・PMI に関するコンサルティングを中心に、幅広い業種の大手企業を支援。現在は 理事・経営研究センター長 として組織を牽引するとともに、著書・論文・メディア出演のほか、公正取引委員会委員、最高裁司法修習委員会委員など社外の要職も多数務める。
After graduating from Waseda University's Faculty of Law, completed an MBA at the University of Wales and a DBA at EU Business School. Joined the Japan Research Institute in 2001 following a corporate-planning career at a listed construction firm, and has since advised major Japanese companies across a wide range of industries — primarily on group strategy, corporate governance, M&A, and PMI. Currently serves as Director and Head of JRI's Management Research Centre, and concurrently holds a number of external posts, including appointments to the Japan Fair Trade Commission and the Supreme Court's Legal Apprentice Training Committee. Has published widely and appears regularly in the media.

一橋大学商学部卒業後、同大学商学研究科経営学修士課程（MBA）を修了。2018年に株式会社日本総合研究所に入社。製造業やメディア・コンテンツ業 を中心に、上場企業の 中期経営計画・ビジョン策定やポートフォリオ戦略策定、それらの実行伴走など、幅広い経営・戦略コンサルティングに従事。グループ経営・M&A の実務において、企業の経営変革を現場から支援している。
Graduated from Hitotsubashi University's School of Commerce and Management, and completed his MBA at the same university's Graduate School of Business Administration. Joined the Japan Research Institute in 2018, and has since worked across a wide range of management- and strategy-consulting engagements — primarily for listed companies in manufacturing and media / content — covering medium-term plans, vision development, portfolio strategy, and the implementation work that follows. Supports corporate transformation on the ground in group-management and M&A practice.

当日の議論は、ご登壇いただくお二人の コンサルティング実務に精通する視点 を起点に、グループ経営・ガバナンス・M&A など実践知識 を中心に進めます。著書や実際のプロジェクト事例を踏まえた 講師との対話、そして Q&A セッション を通じて、プレゼンテーション中心ではなく インタラクティブ な会となるよう設計しています。当日想定される論点としては、以下のようなものがあります。
The conversation will draw directly on the speakers' consulting practice, focused on the applied knowledge of group management, corporate governance, and M&A. The format is built around dialogue with the lecturers — anchored in their books and project work — together with a Q&A session, with the explicit aim of keeping the room interactive rather than presentation-led. Likely lines of discussion include the following.
- グループ経営の実務 — 親会社・事業会社の役割分担、本社機能のあり方、ポートフォリオ・マネジメントの実際。
- コーポレートガバナンスの最前線 — 取締役会の機能発揮、上場子会社・グループ各社のガバナンス、利益相反の扱い。
- M&A の戦略と実行 — 案件発掘・評価・交渉から、PMI（Post-Merger Integration）に至るまでの一連の意思決定。
- 経営変革の現場 — 中期経営計画・ビジョン策定とその実行、ポートフォリオ戦略の組み立て直し、変革プロジェクトの伴走。
- コンサルタントから見た経営者の視座 — 不確実性下での意思決定、社内外のステークホルダーとの対話の組み立て方。
· Group management in practice — how parent companies and operating units divide work, the role of corporate-centre functions, and the realities of portfolio management. · Corporate governance on the front line — making boards work, governing listed subsidiaries and group companies, and handling conflicts of interest. · M&A strategy and execution — the full arc from origination, evaluation, and negotiation through to post-merger integration. · Corporate transformation on the ground — designing medium-term plans and vision statements, rebuilding portfolio strategy, and walking alongside transformation projects. · The executive seen from the consultant's chair — how senior leaders decide under uncertainty, and how they structure dialogue with stakeholders inside and outside the firm.

The Japan Research Institute (JRI), headquartered in Tokyo, is one of Japan's leading think-tanks and consulting firms. It operates three integrated business lines — IT solutions, research and consulting, and incubation — under the watchwords of "Innovation, Incubation, Implementation." JRI has long supported companies across manufacturing, financial services, the public sector, and services with work on corporate strategy, governance, M&A, and digital transformation. On 1 October 2025, it established the Management Research Centre as a dedicated institution exploring advanced management practice for a fast-changing business environment. This guest session continues the ongoing dialogue between IBER-Kotosaka and JRI, following the January 2026 dialogue on corporate intelligence with the centre's head, Eiji Yamada.
